- Transactional Law: Mr. Wertlieb’s legal practice over the past 37 years has focused on corporate governance and business transactions (primarily acquisitions, securities offerings and restructurings), including two decades as a Partner at Milbank LLP, a top-tier international law firm headquartered in New York City.
- Teaching: Adjunct Professor at UCLA School of Law, where for the past two decades Mr. Wertlieb has been teaching a transaction skills course of his own design (entitled Life Cycle of a Business), which includes deal-making, negotiation, contract drafting and ethics. His 3-unit course satisfies one of the requirements for UCLA students seeking a Business Law and Policy Specialization. Mr. Wertlieb is also Senior Advisor, Milbank@Harvard at Harvard Law School Executive Education, a professional development education program that provides attorneys with immersive week-long programs to build leadership and business skills. He is also a Visiting Lecturer at UC Berkeley School of Law, USC Gould School of Law, UC Irvine School of Law, and Santa Clara University School of Law.
- Attorney Ethics: Chair of each of the following Ethics Committees: the California Lawyers Association, the State Bar of California (officially known as the Committee on Professional Responsibility and Conduct, or COPRAC), and the Los Angeles County Bar Association (officially known as the Professional Responsibility and Ethics Committee, or PREC).
- Publications: General Editor of Ballantine & Sterling: California Corporation Laws, a 7-volume treatise on the laws governing businesses in the State of California. Ballantine & Sterling: California Corporation Laws has been cited as an authority in more than 500 federal and state court opinions, 25 SEC No-Action Letters and other administrative reference materials, and 50 law review articles.
These experiences have led to dozens of expert witness engagements in business disputes involving corporate governance and business transactions, as well as in cases involving attorney malpractice and attorney ethics.
